Updated: Mar 30

Introduction

Sustainable business investment

Embarking on your investment journey with Alvear Ventures is an exciting venture into the world of crowdfunding and innovative startups. Our platform is designed to make your investment process as straightforward and transparent as possible. This guide will walk you through the necessary steps to start investing through our platform, ensuring you have all the information and tools you need at your fingertips.

Step 1: Registration

Your first step is to register on our Site. During this process, you’ll create login credentials and provide some basic information about yourself. You will also need to review and agree to our Terms of Use and Privacy Policy, and consent to receive all documents electronically, primarily via email.

Step 2: Understanding the Online Investment Process

Investing through Alvear Ventures is exclusively online, aligning with Title III's modern approach to investments. You won’t have to deal with paperwork, phone calls, or in-person meetings. Instead, everything from viewing investment opportunities to finalizing your investment is conducted through our Site.

Step 3: Making an Investment

Once registered, you can browse various investment opportunities on our Site. Selecting an opportunity will provide you with all the details about that investment. To proceed, you’ll click the “INVEST” button, where we’ll guide you through providing additional information, completing payment, and signing necessary documents with the Issuer, such as an Investment Agreement.

Step 4: Acknowledging Investment Commitment

After you’ve made an investment commitment, we will send you a notification detailing your commitment amount, the securities' price, and the Issuer's name. You’ll also receive information about the deadline by which you can cancel your commitment if you choose to do so.

Step 5: Understanding Offering Amounts and Deadlines

Each investment opportunity comes with a target offering amount and a deadline. If the target isn’t met by the deadline, the offering is canceled, and all committed funds are returned to the investors. Conversely, if the target is reached early, the offering might close sooner, provided certain conditions are met.

Step 6: Exercising Your Right to Cancel

You have the right to cancel your investment commitment for any reason up to 48 hours before the offering deadline. Additionally, if there are significant changes to the offering after your commitment, you will have the opportunity to reassess and reconfirm your investment within five days of being notified of the changes.

Step 7: Finalizing Your Investment

Payments for investments are made via ACH transfer directly from your bank account, with the funds held by a third-party financial institution until the offering concludes. Once the target amount is reached and the offering is successful, your investment will be finalized, and you will receive a confirmation notice detailing the transaction specifics.

Step 8: Complying with Resale Restrictions

It’s important to note that securities purchased cannot be resold for one year, with specific exceptions. This restriction is part of the regulatory framework to ensure stability and compliance within the crowdfunding ecosystem.

Step 9: Understanding Issuer Disclosures

Before investing, you will have access to extensive information about the Issuer, provided on a Form C, which includes details about the company’s business, financial condition, and the risks associated with the investment.

Step 10: Staying Informed After Investment

Post-investment, Issuers are required to file annual reports, providing ongoing transparency and updates about their financial and operational status, which will be accessible on their website.

Conclusion

Investing with Alvear Ventures is a journey into the future of finance, offering a transparent, regulated, and streamlined process. By following these steps and understanding your rights and responsibilities as an investor, you are well-equipped to make informed decisions and potentially reap the rewards of your investment choices.
